Proposed Changes to Directive Aimed at Cross-Border Hybrid Loans

The European Commission has proposed changes to the Parent-Subsidiary Directive that are designed to block tax avoidance by some arrangements of cross-border hybrid loans. The changes would also amend the directive to include an anti-abuse rule. Page 2

OECD Proposes Multilateral Exchange of Tax Information
The OECD proposal would build on the information exchange provisions of FATCA and a pilot project by France, Germany, Spain and the UK. Questions remain as to the competition between a global standard and the individual and regional efforts of countries to fashion their own tax reporting requirements. Page 3

Avoiding Disputes over Use of Arm’s Length Principle in the Netherlands
The Netherlands has provided detailed guidance on the application of the arm’s length principle to particular business practices. The decree includes specific guidance for inter-company loans and guarantees, among others. The guidance examines the risks for some transfers of intangible assets to a group-company member. Page 7

Mitigating the Tax Changes to Polish Limited Stock Companies
Polish limited stock companies (SKAs), which are frequently used to structure investments due to favorable tax classification, will soon be taxed as corporations. While the law is expected to go into effect on January 1, owners of SKAs may be able to maintain tax advantages through October, 2015. Page 12
